Answers to Important Questions.
An ownership transition involves significant decisions, often accompanied by unfamiliar processes and considerations. Below, we address common questions from business owners exploring a potential sale.
Considering a Sale
When should I begin preparing my business for a sale?
Ideally, preparation begins well before a transaction is contemplated. Starting one to three years in advance can provide time to strengthen financial reporting, improve operational efficiency, develop management depth, and address potential valuation concerns. Early preparation also gives owners greater flexibility to pursue a transaction on their preferred timeline.
How do I know if my business is ready to sell?
Transaction readiness involves both business fundamentals and personal objectives. Buyers typically evaluate financial performance, management capabilities, customer concentration, growth opportunities, and operational stability. Equally important is understanding what you hope to achieve financially and personally through a sale. We help owners evaluate both dimensions and identify the appropriate next steps.
How is my business valued?
Business valuation is influenced by several factors, including adjusted EBITDA, earnings quality, growth prospects, customer concentration, industry dynamics, management strength, and prevailing market conditions. We assess these characteristics alongside relevant transaction activity and buyer expectations to develop a market-informed perspective on enterprise value.
Can I engage Monument before I am ready to sell?
Absolutely. Many owners benefit from beginning the conversation well in advance of a potential transaction. We can help assess current business value, identify opportunities for improvement, and develop a practical strategy for preparing the company for a future sale.
Understanding the Transaction Process
How long does it typically take to sell a business?
A typical lower-middle-market M&A transaction takes approximately six to nine months from launching the sale process through closing, although timelines vary based on business complexity, market conditions, buyer interest, and transaction structure. We encourage owners to begin preparing well in advance of a potential sale to strengthen their market positioning, address potential challenges, and facilitate a more efficient transaction process.
How is confidentiality maintained during the sale process?
Confidentiality is a central priority throughout our process. Initial outreach generally uses anonymized company information, and prospective buyers are required to execute confidentiality agreements before receiving identifying or sensitive materials. We also work with owners to establish an appropriate buyer outreach strategy and control the timing and scope of information disclosure.
Will my employees know the business is for sale?
Not necessarily. Employee communications are carefully considered as part of the transaction strategy. We work with owners and their advisors to determine when key employees should be involved and how broader communications should be managed, while recognizing that certain employees may need to participate in due diligence before closing.
How does Monument identify potential buyers?
We develop a targeted buyer universe based on your company's industry, size, financial performance, growth profile, and strategic positioning. Potential acquirers may include private equity firms, strategic buyers, family offices, and other qualified investors. Our approach is designed to identify parties with both the financial capacity and strategic rationale to pursue the opportunity.
What information will prospective buyers require?
Information requirements increase as a transaction progresses. Initial materials typically provide an overview of the business without disclosing its identity. Qualified buyers who execute confidentiality agreements may receive a confidential information memorandum and supporting financial information. More extensive operational, financial, legal, and commercial diligence is generally conducted after a preferred buyer has been selected.
Am I required to accept the highest offer?
No. As the owner, you retain control over the decision to proceed with a transaction. While valuation is important, we also evaluate consideration structure, financing, contingent payments, retained equity, execution certainty, and post-closing obligations. Our role is to provide the analysis and guidance necessary for you to select the outcome that best aligns with your objectives.
Partnering With Monument
What types of businesses does Monument advise?
Monument primarily serves privately held businesses in the United States with approximately $5 million to $200 million in annual revenue. Our areas of interest include residential services, healthcare, manufacturing, commercial services, business services, and other established founder- and family-owned companies.
How is Monument compensated?
Our fee structure is tailored to the scope and complexity of each engagement and typically includes an initial engagement fee and a success-based fee payable upon completion of a transaction. This approach aligns our interests with those of our clients while supporting the dedicated resources and senior-level attention required throughout the process. All fees and engagement terms are clearly established upfront, ensuring transparency and alignment from the outset.
Who will manage my transaction?
Every Monument engagement is led directly by our Managing Partners, Payton Anderson and Dan Staffieri. Our selective approach to client engagements ensures senior-level involvement, consistent communication, and dedicated attention throughout the transaction process.
What should I expect during our initial conversation?
Our initial discussion is an opportunity to learn about your business, understand your ownership objectives, and explore potential strategic alternatives. There is no obligation to proceed, and extensive financial preparation is not required beforehand. If further evaluation is appropriate, we can discuss the information needed to assess potential value, transaction readiness, and recommended next steps.
Can Monument help me prepare for a future sale?
Yes. Exit planning and transaction preparation are important components of our advisory services. We work with owners to evaluate business performance, identify potential value-creation opportunities, address transaction readiness, and establish a thoughtful strategy for an eventual ownership transition.
